Terms of service
1. Scope
1.1 These terms apply to every contract under which we provide the 24/6 software, pilots, onboarding, consulting, software or AI development or related services (the "Services") to a customer (the "Customer").
1.2 We contract only with businesses acting in their trade, business or profession. We do not contract with consumers. By ordering, the Customer confirms that it acts as a business.
1.3 An individual order, proposal or statement of work (the "Order") describes the Services, the fees and the term. In case of conflict, the Order prevails over the data processing agreement ("DPA") on commercial points, the DPA prevails on data protection, and both prevail over these terms. Terms of the Customer apply only if we accept them expressly in writing; our silence or performance is no acceptance.
1.4 A non-disclosure agreement signed between the parties remains in force. Where it protects confidential information more strongly than these terms, it prevails.
2. Conclusion of the contract
2.1 Our website, presentations and proposals are invitations to order, not binding offers, unless a proposal states a period for acceptance.
2.2 A contract is concluded when we confirm an Order in text form (email suffices) or start performing it.
2.3 A reservation made on m246.org (for example "Reserve your spot") is a non-binding expression of interest. The card details entered are stored by Stripe for later use; we do not charge them before we have confirmed the start date, the scope and the fees in text form and the Customer has agreed.
3. The Services
3.1 24/6 is a workspace for remote and distributed teams: a single source of truth for strategy and priorities, tasks with owners and check-in dates, one communication channel per project, and AI assistants that summarise status and flag blockers. Its functions at any time are as described in the Order and in the product.
3.2 Consulting, pilots and development services are services, not a promised result, unless the Order expressly specifies a deliverable to be accepted.
3.3 We may use subcontractors and the sub-processors listed on our sub-processor page. We remain responsible for them.
3.4 We develop 24/6 continuously. We may change functions if the change is reasonable for the Customer, in particular if the agreed core functions remain available. We announce changes that materially reduce functions at least 6 weeks in advance; the Customer may then terminate the affected subscription at the date the change takes effect.
3.5 We aim for high availability but owe a specific availability level only if the Order states one. Planned maintenance is announced in advance where possible and scheduled outside the Customer's usual working hours.
4. Artificial intelligence
4.1 Some functions use AI models. AI output is generated by probability and may be incomplete or wrong. The Customer reviews output before relying on it, in particular before decisions about people. AI output is a recommendation; it never replaces a decision by the Customer.
4.2 We do not use the Customer's content to train or fine-tune AI models, and we use external AI models only with the provider's use of our inputs for model training switched off. Models that run on our own or rented hardware are used only for the Customer's processing.
4.3 When the Customer uses AI functions within the meaning of Regulation (EU) 2024/1689 (AI Act), the Customer is the deployer and we are the provider of the relevant function. We mark AI interactions and AI-generated content where the AI Act requires it, and we provide the information the Customer needs to use the function lawfully. The Customer ensures that the people in its organisation who use AI functions have sufficient AI literacy (Art. 4 AI Act) and does not use the Services for practices prohibited by Art. 5 AI Act, including emotion recognition in the workplace.
5. Obligations of the Customer
5.1 The Customer is responsible for the lawfulness of the content and personal data it puts into the Services, and for informing its staff and other people concerned.
5.2 Recording and transcription. If the Customer asks us to record or transcribe meetings, the Customer ensures that every participant has consented beforehand and that nobody is recorded who has refused. Recording without consent can be a criminal offence, for example under § 201 of the German Criminal Code.
5.3 Employee participation. 24/6 shows who owns which task and when it was last updated. Such functions may be suitable to monitor the behaviour or performance of employees. Before rollout, the Customer ensures that any required co-determination of a works council or other employee representation has taken place (in Germany in particular § 87(1) no. 6 BetrVG) and that the use complies with applicable employment law. The Customer does not use the Services for covert surveillance of employees.
5.4 Biometric data (voice profiles) and other special categories of personal data under Art. 9 GDPR may be processed only where the Order provides for it and the Customer has obtained the explicit consent of each person concerned.
5.5 The Customer keeps its login credentials secret, gives access only to authorised users and tells us without delay if it suspects misuse.
5.6 The Customer does not misuse the Services, in particular does not upload malicious code, does not attempt to circumvent security measures, does not use the Services to infringe third-party rights and does not resell access without our consent.
6. Fees and payment
6.1 Fees are stated in the Order in euro and exclude VAT. For customers with a valid VAT identification number in another EU Member State, the reverse charge applies (Art. 196 of Directive 2006/112/EC); for customers in Bulgaria, Bulgarian VAT is added.
6.2 Subscription fees are invoiced in advance for each billing period; other fees as stated in the Order. Invoices are due within 14 days. Payment by card or SEPA direct debit is processed by Stripe; the Customer authorises us to charge the payment method on file for amounts due under a confirmed Order.
6.3 If the Customer is in default, statutory default interest under Bulgarian law applies. We may suspend the Services after a written reminder with a period of at least 14 days if a significant amount remains unpaid.
6.4 We may adjust subscription fees with effect from the next renewal by notice in text form at least 6 weeks in advance. The Customer may then terminate the subscription at the date the change takes effect.
7. Term and termination
7.1 The term is stated in the Order. Unless the Order says otherwise, subscriptions run month to month and each party may terminate with 30 days' notice to the end of a billing period. Pilots end at the end of their stated term.
7.2 Each party may terminate for good cause without notice, in particular if the other party materially breaches the contract and does not cure the breach within 14 days of written notice, or becomes insolvent.
7.3 Termination must be in text form.
7.4 After the end of the contract we make the Customer's content available for export for 30 days and then delete it, as set out in the DPA.
8. Confidentiality
8.1 Each party keeps confidential all information of the other party that is marked confidential or is confidential by its nature, uses it only to perform the contract and discloses it only to employees, subcontractors and advisers who need it and are bound to equal confidentiality. This obligation continues for 3 years after the end of the contract, and for trade secrets as long as they remain trade secrets.
8.2 This does not apply to information that is or becomes public without breach, that the receiving party already had or developed independently, that it lawfully received from a third party, or that it must disclose by law or official order; in the last case it informs the other party in advance where permitted.
9. Data protection
9.1 Where we process personal data on behalf of the Customer, the data processing agreement applies and forms part of the contract. It is concluded with the contract without separate signature; on request we sign a copy.
9.2 For our own processing as controller, our privacy policy applies.
10. Rights in the Services and the content
10.1 All rights in the 24/6 software, its documentation and our know-how remain with us. For the term of the contract, the Customer receives a non-exclusive, non-transferable right to use the Services for its own business purposes within the scope of the Order.
10.2 The Customer's content remains the Customer's. The Customer grants us the right to process it only as far as needed to provide the Services.
10.3 Work results that we create individually for the Customer under an Order pass to the Customer upon full payment as far as the Order provides; otherwise the Customer receives a non-exclusive, perpetual right to use them for its own business purposes. Our pre-existing materials, tools and general know-how remain ours.
10.4 We may use aggregated statistics about the use of the Services that contain no content of the Customer and no personal data to operate, secure and improve the Services, and we may use the Customer's data for scientific research and publish anonymised results, and use meeting content in anonymised form in our marketing, as set out in section 2.5 of the DPA.
10.5 We name the Customer as a reference only with its prior consent.
11. Defects
11.1 We remedy defects in the Services within a reasonable time after the Customer has reported them in text form with a description that allows us to reproduce them. If the remedy fails twice, the Customer may reduce the fee for the affected period or terminate the affected Service.
11.2 Claims for defects lapse 12 months after delivery, except in the cases of section 12.1.
12. Liability
12.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, for fraud, under a guarantee we have given and where liability cannot be limited by mandatory law (including Art. 94 of the Bulgarian Obligations and Contracts Act and Art. 82 GDPR in relation to data subjects).
12.2 For slight negligence we are liable only for breach of an obligation whose fulfilment is essential for the proper performance of the contract and on which the Customer may regularly rely, and then only for the foreseeable damage typical for the contract.
12.3 In the cases of 12.2, our total liability per contract year is limited to the fees paid by the Customer in the 12 months before the event causing the damage.
12.4 We are not liable for loss of data that the Customer could have avoided by reasonable backups of its own exports, beyond the cost of restoring the data from such backups.
12.5 These limits also apply in favour of our employees, representatives and subcontractors.
13. Indemnity
The Customer indemnifies us against claims of third parties, including fines and reasonable legal costs, arising because content or personal data the Customer put into the Services, or the Customer's use of the Services, infringes the law or rights of third parties, unless the Customer is not responsible for the infringement. We inform the Customer of such claims without delay and let it conduct the defence.
14. Changes to these terms
We may change these terms for the future if the change is reasonable for the Customer. We send the changed terms in text form at least 6 weeks before they take effect. They are deemed accepted if the Customer does not object before that date; we point this out in the notice. If the Customer objects, either party may terminate the affected subscription at the date the change would take effect.
15. Final provisions
15.1 These terms and every contract under them are governed by the laws of the Republic of Bulgaria, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules. Mandatory provisions protecting the Customer under the law of its seat remain unaffected.
15.2 The courts of Sofia, Bulgaria, have exclusive jurisdiction for all disputes arising from or in connection with the contract. We may also sue the Customer at its seat.
15.3 Amendments and notices require text form unless mandatory law requires a stricter form.
15.4 Should a provision be invalid, the remaining provisions remain valid. The parties will replace the invalid provision with a valid one that comes closest to its economic purpose.
15.5 These terms are written in English. Translations are for convenience; the English version prevails.
